KNOW ALL MEN BY THESE PRESENT: That the undersigned, residents of the State of Washington, and over the age of twenty-one years; have this day voluntarily associated ourselves together for the purpose of forming and becoming a body corporate under the laws of the State of Washington and we do hereby adopt, subscribe and certify in triplicate the following ARTICLES OF INCORPORATION; to wit:
ARTICLE I
The name of the corporation shall be Norwegian Commercial Club.
ARTICLE II
The objects and purposes for which this corporation is formed are as follows:
- To promote and encourage civic and commercial activity to the end that benefits therefrom may accrue to the State of Washington, City of Seattle and the Pacific Northwest; to foster trade and commerce among its members; to promote and elevate business standards and professional ethics; to offer invitations for other to seek this state and community as their field of commercial endeavor and to extend hospitality to visitors and new arrivals; to assist in and encourage interest and active participation by its members in public affairs; to provide facilities and accommodations for business meetings and social gatherings; to establish and maintain a social and business club for Norwegians, Norwegian Americans and others to provide such quarters, meeting places and facilities as will serve the purposes for which the corporation is organized.
- To do generally and all things which the corporation may deem necessary, proper and convenient for the carrying out of the purposes and objects hereinabove stated and, in addition thereto, to have all the general powers granted under and by virtue of the laws of the United States and the laws of the State of Washington.
- This corporation shall not engage in business, avocation or profession for gain.
ARTICLE III
This corporation shall have no capital stock.
ARTICLE IV
The time of the corporate existence of this corporation is and shall be perpetual.
ARTICLE V
The number of Trustees of this corporation shall at no time be less than five and the number may be increased by amendment of the by-laws to not exceed seven. The officers of the corporation shall be President, Vice President, Secretary, Membership Secretary and Treasurer, who shall be elected in such a manner and at such times as the by-laws shall provide. The first Board of trustees who shall manage the affairs of the corporation until the 24th day of January, 1933, and the election and qualification of their successors are: C. Sunde, M.O. Syllaasen, Alfred C. Oleson, Theo. Christy, and I.H. Jacobsen.
ARTICLE VI
The principal place of business of the corporation shall be Seattle, King County, State of Washington.
ARTICLE VII
The members shall consist of such persons as the corporation shall be its by-laws or resolutions designate, and shall be admitted upon subscription to the by-laws in such a manner as said by-laws and resolutions provide.
ARTICLE VIII
The liability of each member of this corporation shall be limited to and be no other or greater than his obligation to pay his membership fees and dues according to the by-laws and resolutions regularly adopted and passed by the members of the corporation. IN WITNESS WHEREOF we have hereunto set our hands and seals in triplicate this 16th day of November, 1932.
ARTICLE IX
The business of this Corporation shall be conducted in accordance with Roberts Rules of Order.
